Booking Agreement Conditions

1. Your Business (You) warrant that You have the right to use the names, logos etc incorporated in Your artwork and agree to indemnify Ecoway Pty Ltd (We/Our/Us) against any and all claims arising from the use of Your artwork.

2. We will send You for approval a proof copy of the proposed Advertising prior to publication and You will be responsible to approve or advise of any changes required prior to the publication deadline as advised to You on the artwork proof. If You do not respond to the proof prior to that deadline, We shall be entitled to assume that the proof copy of the Advertising is satisfactory to You and We shall publish the proof copy in accordance with this Agreement and without further reference to You.

3. If You do not provide the artwork for a booked advertisement subject to this Agreement, before the artwork due date, then We may, at Our discretion, cancel the placement of the Advertisement, and charge a cancellation fee of 50% of the agreed booking fee.

4. If all or part of the Advertising does not appear, Our liability is limited to an undertaking to reprint the corrected Advertisement.

5. You are responsible for the content of Advertisements, and Our liability is limited to an undertaking to reprint a notice of correction.

6. This Agreement is accepted on the basis that We will not be liable for any loss or damage claimed by You in relation to the Advertising, whether by reason of delay, error, omission or otherwise caused by Us, our agents, contractors or in any way whatsoever.

7. All payments are net 14 days after the date the publication is first distributed.

8. If any payment for the Advertising is not made on or before the due date, then late fees shall apply and be invoiced to you each month as indicated in the schedule.

9. You will incur an administration fee for any reminder notice or statement sent by Us after 14 days, as per the schedule.

10. You shall also pay legal costs and any other costs made by Us for taking recovery action against You for any amounts due.

11. Any changes to the conditions of this Agreement for the Advertising must be agreed in writing by both parties.

12. Contract cancellations will only be accepted if
a. Payment for the used portion of the Agreement shall be adjusted to a rate of $5.50 per square centimetre and
b. The payment of a cancellation fee equal to one issue’s booking at $5.50 per square centimetre

13. No condition, assurance or representation has been made to You other than stated in this Agreement

14. All prices quoted include the Goods and Service Tax

15. This Agreement shall be construed and operate as a contract in conformity with the laws of the State of South Australia

16. WE reserve total rights to refuse publication of any submitted Advertisement or material as WE determine

17. You warrant that You sell an environmental product or service and/or are committed to continual improvement of Your environmental practices.
